Our Capital Markets practice group is seeking an associate with 3+ years of experience to join our team. We are open to staffing this role in our Washington, D.C., New York, or Chicago offices.

Key Responsibilities

  • Represent issuers and underwriters in a range of public and private securities offerings and related transaction execution work.
  • Advise on SEC reporting and compliance matters and ongoing public company obligations.
  • Support public company workstreams, including corporate governance and NYSE/Nasdaq compliance.
  • Draft, review, and negotiate offering and transaction documentation (including ancillary and closing documents) and manage signature/closing processes.
  • Coordinate with (and as appropriate, liaise with) regulatory authorities and stock exchanges in connection with capital markets matters.
  • Conduct legal research and provide support on issues involving regulatory compliance and corporate governance.
  • Collaborate with colleagues across offices and practices to support cross-border and multi-disciplinary deal teams and ensure seamless execution.
  • Participate in client calls/meetings and help manage timelines, diligence, and deliverables in a fast-paced transaction environment.

 

Required Qualifications

  • At least 3 years of relevant capital markets / corporate transactional experience at a law firm (or comparable sophisticated practice setting).
  • At least 3 years of experience working with equity capital markets such as underwritten offerings,  registered directs and confidentially marketed public offerings.
  • Experience with drafting registration statements and Exchange Act disclosure, such as 10-K’s and 10-Q’s
  • J.D. (or equivalent).
  • Admitted to the bar in the jurisdiction where you will sit.
  • Excellent legal drafting, analytical, and writing skills, with strong attention to detail.
  • Ability to manage multiple deadlines under pressure while delivering high-quality work product.

Expected Pay Range for Associates: 2026/2025 Class Compensation Years: $225,000

                                                           2024 Class Compensation Years: $235,000

                                                           2023 Class Compensation Years: $260,000

                                                           2022 Class Compensation Years: $310,000

                                                           2021 Class Compensation Years: $365,000

                                                           2020 Class Compensation Years: $390,000

                                                           2019 Class Compensation Years: $420,000

                                                           2018 and more senior class compensation years: $435,000
